A publicly traded company seeks a Legal Administrator / Corporate Governance Paralegal to join their team. In this role you will assist the legal team with the preparation and filing of public company SEC filings (10-K, 10-Q, 8-K, Section 16, etc). Position requires 1+ years of experience preparing and filing public company SEC reports (10-K, 10-Q, 8-K, Section 16, etc) at a publicly traded company, or at a law firm supporting publicly traded companies. This role is ONSITE IN THE OFFICE 5 days/week in Atlanta or Temple, GA (your choice). Position includes a salary of $110,000 - 150,000 DOE + excellent benefits.salary: $110,000 - $150,000 per yearshift: Firstwork hours: 8 AM - 5 PMeducation: No Degree RequiredResponsibilities Work with General Counsel and other executives to assist with Board and Committee presentations, preparing agendas, drafting minutes, and related documentation and organization of the same. Maintain corporate minute books and other corporate records. Assist with the preparation and filing of SEC periodic reports such as Forms 10-K, 10-Q, and 8-K as well as other SEC reports (Workiva). Prepare, process, and manage Section 16 filings for directors and officers in coordination with the General Counsel including updating passwords and obtaining filing codes. Maintain offline equity tracking spreadsheets. Prepare documentation required in connection with the formation, maintenance, and elimination of legal entities, including certificates of incorporation, bylaws, operating agreements, board and shareholder resolutions, director and officer changes, merger and dissolution certificates, powers of attorney, and qualifications to do business.
